Terms & Conditions

1. Definitions

"SnapMenu", "we", "us", "our" refers to the provider of the SnapMenu platform.

"Restaurant", "you", "your" refers to the business or individual operating a SnapMenu account.

"Services" refers to the SnapMenu ordering, QR menu, kitchen, cashier, payment, loyalty, and related features.

"Customer" refers to a restaurant's end diner.

2. Acceptance of Terms

By creating a SnapMenu account, scanning a QR code, or otherwise using the Services, you agree to these Terms. If you act on behalf of a business, you warrant that you have authority to bind that business.

3. The Services

SnapMenu provides software tools to digitise menus, accept and route orders, and facilitate payments. We do not operate your restaurant, employ your staff, prepare food, serve customers, or guarantee any volume of orders or revenue. The Services are provided on an "as is" and "as available" basis.

4. Restaurant Responsibilities

You are solely responsible for:

(a) the accuracy of your menu, pricing, availability, allergen and nutritional information;

(b) preparing, serving and delivering food to Customers;

(c) fulfilling orders placed via the Services;

(d) maintaining any required licences, permits, food-safety and hygiene compliance;

(e) your staff's conduct and access credentials; and

(f) complying with consumer-protection, data-protection and tax laws applicable to your business.

5. No Warranty; Outages; Data Loss

To the maximum extent permitted by law, SnapMenu is provided without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, uninterrupted availability, or error-free operation. We may suspend, update, or modify the Services at any time without notice. We are not liable for any loss of orders, revenue, data, or goodwill resulting from outages, maintenance, connectivity issues, third-party failures (including payment processors), or any disruption to the Services.

6. Limitation of Liability

To the fullest extent permitted by law, SnapMenu, its directors, employees, affiliates and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, orders, customers, data, business, goodwill or anticipated savings, whether in contract, tort (including negligence), under statute, or otherwise, arising out of or in connection with your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or relating to these Terms or the Services, for all events combined, shall not exceed USD $100.

7. Payment Processing; Third-Party Services

Payment processing is performed by third parties (e.g. Stripe). SnapMenu facilitates integration but does not process, hold, or guarantee payments. We are not liable for payment failures, chargebacks, fraud, frozen accounts, or any action taken by a payment processor. You are responsible for setting up and maintaining your own payment-provider accounts and for any disputes with Customers or processors.

8. Account Access; Kitchen and Cashier Tools

You are responsible for keeping your QR codes, kitchen-station tokens, passwords, and staff credentials secure. SnapMenu is not liable for unauthorised access resulting from your failure to safeguard these. Features such as kitchen display, cashier confirmation, and order status are operational aids only and do not replace your own processes.

9. Indemnity

You agree to indemnify and hold harmless SnapMenu and its affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of:

(a) your use of the Services;

(b) your menu, products, or conduct of your business;

(c) any breach of these Terms;

(d) any claim by a Customer or third party relating to your food, service, or pricing; and

(e) any tax or regulatory obligation applicable to you.

10. Order Fulfilment and No-Fee Guarantee

SnapMenu routes and displays orders but does not guarantee that any order will be received, acknowledged, or fulfilled. You are responsible for monitoring incoming orders. Any orders lost, delayed, or misrouted due to network, device, staff, or system issues are solely your responsibility, and you release SnapMenu from any related claims.

11. Data; Privacy

You retain ownership of your Customer data and menu content. You grant SnapMenu a licence to host, transmit, and display such content as needed to operate the Services. You are responsible for complying with data-protection laws (e.g. UK GDPR) regarding Customer information you collect through the Services.

12. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason including breach of these Terms, suspected fraud, abuse, or prolonged inactivity. Upon termination, your right to use the Services ceases; we are not liable for any resulting loss of business, orders, or data.

13. Governing Law

These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer-protection rights that may apply.

14. Changes to These Terms

We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
